RubyNav Terms & Conditions

Effective Date: March 2026

1. Acceptance of terms

By accessing, downloading, registering for, using, integrating with, or otherwise interacting with RubyNav Inc., its website(s), mobile application(s), APIs, services, communications, and related technology systems (collectively, the “Platform”), you agree to be legally bound by these Terms & Conditions (“Terms”).

If you do not agree, you must immediately discontinue use of the Platform.

These Terms apply to all: customers, users, RubyNav Partners, RubyNav Partner Pros, businesses, enterprise clients, API integrators, visitors, and any entity interacting with RubyNav.

2. Platform description & role

RubyNav Inc. (“RubyNav,” “we,” “us,” “our”) operates a technology platform that connects independent service providers with customers and businesses.

RubyNav is not a transportation company, delivery company, logistics provider, employer, or direct service provider unless expressly stated in a separate written agreement. Independent service providers perform services. RubyNav’s role is limited to facilitating marketplace transactions.

3. Independent contractor status

RubyNav Partners and Partner Pros are independent contractors. Nothing in these Terms creates:

  • Employment
  • Joint venture
  • Agency
  • Franchise
  • Partnership

Partners are solely responsible for: taxes, insurance, licenses, equipment, and compliance with laws. RubyNav disclaims control over the manner and means of service performance.

4. Arbitration agreement (mandatory & binding)

YOU AND RUBYNAV AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR USE OF THE PLATFORM SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION.

Arbitration shall:

  • Be conducted in Texas
  • Be administered by the American Arbitration Association (AAA)
  • Be conducted under AAA Commercial Arbitration Rules
  • Be decided by a single arbitrator
  • Be conducted in English

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Assumption of risk

Users acknowledge that use of the Platform involves inherent risks, including but not limited to: third-party conduct, transportation-related risks, delays, service variability, and technology failures. Users voluntarily assume all such risks to the maximum extent permitted by law.

Release of claims

To the fullest extent permitted by law, users release RubyNav Inc., its officers, directors, employees, affiliates, and agents from any claims arising from: acts or omissions of independent service providers, third-party actions, customer conduct, and business partner conduct.

Platform as intermediary only

RubyNav is solely an intermediary platform. RubyNav does not supervise service, does not guarantee service quality, does not control partners’ actions, and does not verify all representations. Responsibility lies with the independent provider.

Waiver of consequential damages

Under no circumstances shall RubyNav be liable for: loss of goodwill, loss of anticipated savings, lost revenue, business interruption, or reputational damage — even if advised of the possibility.

Limitation on claim period

Any claim must be brought within 12 months of the event giving rise to the claim. After 12 months, claims are permanently barred.

Survival

The following sections survive termination: arbitration, indemnification, limitation of liability, release, intellectual property, and governing law.

5. Class action waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW: All disputes must be brought in an individual capacity. You waive any right to:

  • Participate in a class action
  • Participate in a collective action
  • Act as a class representative
  • Join claims with other users

Arbitration shall proceed solely on an individual basis.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: RubyNav’s total aggregate liability shall not exceed the greater of:

  • $100 USD, or
  • The total amount paid by the user to RubyNav in the previous 3 months.

RubyNav shall not be liable for: indirect damages, consequential damages, lost profits, lost business opportunity, data loss, third-party conduct, or service interruptions.

All services are provided “AS IS” and “AS AVAILABLE.”

7. No warranty

RubyNav expressly disclaims all warranties, including: merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, and error-free operation.

RubyNav makes no guarantee regarding: earnings, service availability, matching speed, platform uptime, or business revenue.

8. Force majeure

RubyNav shall not be liable for failure or delay in performance caused by: natural disasters, acts of God, government action, war, pandemic, labor disputes, supply chain disruption, internet outages, utility failures, cyberattacks, or civil unrest. Performance timelines may be extended accordingly.

9. Indemnification

Users agree to indemnify, defend, and hold harmless RubyNav Inc., its officers, directors, employees, affiliates, and agents from any claims arising out of: platform misuse, violation of laws, partner conduct, user conduct, business conduct, content submission, and third-party claims. This obligation survives termination.

10. Subscription & auto-renew terms

If the Platform offers subscription services (including RubyNav+):

  • Subscriptions may auto-renew unless canceled prior to the renewal date
  • Renewal charges are billed automatically
  • Fees may change with prior notice
  • No refunds for partial billing periods unless required by law

Users are responsible for managing cancellation within their account settings.

11. DMCA copyright notice

RubyNav respects intellectual property rights. If you believe copyrighted material has been infringed, submit a DMCA notice to legal@rubynav.com. Include:

  • Identification of the copyrighted work
  • Identification of the infringing material
  • Contact information
  • A statement under penalty of perjury
  • An electronic or physical signature

RubyNav may remove allegedly infringing content.

12. Export compliance

Users may not use the Platform in violation of U.S. export control laws. The Platform may not be used in sanctioned countries, by restricted individuals, or for prohibited end uses. Users are responsible for compliance with applicable export laws.

13. Governing law & venue

These Terms are governed by the laws of the State of Texas. If arbitration is deemed unenforceable, exclusive jurisdiction shall lie in state or federal courts located in Texas. Users consent to personal jurisdiction in Texas.

14. Partner-specific terms

Partners agree that:

  • They are independent contractors
  • RubyNav does not guarantee income
  • RubyNav may deactivate accounts at its discretion
  • Partners maintain legally required insurance
  • RubyNav may modify payout formulas

Partner agreements may include additional contractual provisions.

15. Business-specific terms

Businesses using RubyNav agree:

  • They are responsible for lawful product compliance
  • They indemnify RubyNav for product liability claims
  • RubyNav is not liable for business revenue loss
  • Additional written agreements supersede these Terms

16. API-specific terms

API users agree:

  • Not to reverse engineer
  • Not to exceed rate limits
  • Not to scrape data
  • Not to replicate platform features
  • To maintain secure credentials

RubyNav may revoke API access at its discretion.

17. Insurance disclaimer

RubyNav does not provide blanket insurance coverage for all partner activities. Partners are responsible for: personal auto insurance, commercial coverage if required, and professional liability insurance (if applicable). Any limited platform-level coverage is subject to separate policy terms.

18. Account termination

RubyNav may suspend or terminate accounts for policy violations, suspected fraud, safety concerns, or legal compliance. Termination may occur without prior notice.

19. Modification of terms

RubyNav may update these Terms at any time. Continued use constitutes acceptance.

20. Severability

If any provision is unenforceable, the remainder remains in effect.

21. Entire agreement

These Terms constitute the entire agreement between users and RubyNav Inc.
